General Terms and Conditions os Sale
1-PURPOSE AND SCOPE
These General Terms and Conditions of Sale (GTCS) apply to all sales made by
France Affiches to professional clients, unless formally and explicitly agreed
otherwise in writing.
These GTCS take precedence over any clauses in the client’s own documents, including any general purchasing conditions, except in the case of framework agreements co-signed with certain clients.
2-QUOTATIONS – ORDERS – VALIDATION
Quotations are valid for 30 days. An order becomes binding upon receipt of the signed proof (BAT), approval of the control PDF, or written validation of the quotation.
Any validation of the BAT or the control PDF constitutes a firm and final commitment.
3-PRODUCTION LEAD TIMES
Production times are indicative only and begin upon receipt by France Affiches of the BAT or control PDF validated by the client.
The client is informed that any delay in providing the necessary elements and/or validations may affect the quality of the work and disrupt the scheduled timeline. Such delay may result in a postponed production and delivery date. This new deadline may be subject to a surcharge for urgent processing.
No compensation may be claimed for delays beyond our control.
4-PROOF APPROVAL (BAT) AND CLIENT RESPONSIBILITY
The validation of the BAT or control PDF binds the client. No claim will be accepted after printing following such validation, even in the event of an error or omission.
5-PRICING
All prices are quoted exclusive of taxes, ex works. Any customs duties and insurance are the responsibility of the client.
Any changes to an order may lead to a price revision.
6-PAYMENT TERMS
The payment terms are those specified in the quotation/order validated by the client.
A specific pricing condition stated in the accepted order may require a deposit payment. This deposit may represent part or all of the total cost of the services ordered. If the deposit is not paid by the client, France Affiches is under no obligation to commence production.
Any late payment will result in penalties of 3 times the legal interest rate, plus a €40 recovery fee.
7-DELIVERY AND TRANSPORT
Goods travel at the client’s risk. Any claims must be submitted to the carrier within 48 hours. Failing that, the delivery shall be deemed accepted without reservation.
8-MEDIA QUALITY AND TECHNICAL TOLERANCES
Tolerances of ±5% are accepted (dimensions, colorimetry, quantity). These shall not be grounds for any complaint.
9-FORCE MAJEURE
France Affiches shall not be held liable for any failure to fulfill its obligations due to external events (vibrations, breakdowns, strikes, adverse weather, natural disasters, demonstrations, etc.).
10-RETENTION OF TITLE
Goods remain the property of France Affiches until payment has been made in full.
11-INTELLECTUAL PROPERTY
The client guarantees that they hold the rights to use the content provided. Files created remain the property of France Affiches unless explicitly purchased.
12-PUBLIC CONTRACTS AND KEY ACCOUNTS
For public contracts or framework agreements with key account clients, the specific terms of the framework agreement shall prevail over these GTCS only if expressly stated.
13-CONTRACTUAL PENALTY CLAUSE
Any interruption or disruption of production attributable to the client or to a third party acting on their behalf (including advertisers, other printers, purchasing centers, etc.) without reasonable notice may result in a claim for compensation by France Affiches.
Such compensation will cover, in particular:
• The direct loss of production;
• Incurred costs;
• Any contractual penalties or losses due to commitments made by France Affiches to its own clients.
14-DATA PROTECTION
In the course of processing and invoicing client orders, FRANCE AFFICHES collects and stores professional data relating to the client company and its representatives, excluding personal data.
In this context, FRANCE AFFICHES also stores data related to the work performed in order to streamline future orders for that client. These data are used exclusively by FRANCE AFFICHES and are not shared with third parties. They are kept for the duration of the commercial relationship and for up to one year after it ends.
In accordance with the French Data Protection Act and the General Data Protection Regulation (GDPR), the client may exercise their right to access and rectify their data by contacting FRANCE AFFICHES.
By accepting these general terms and conditions of sale, the client expressly authorizes FRANCE AFFICHES to use the aforementioned data exclusively for order processing purposes.
15-CLIENT ACCEPTANCE
These general terms and conditions of sale are expressly accepted by the client, who declares that they are fully aware of them and waives the right to invoke any contradictory documents, including their own general purchasing conditions.
16-DISPUTES – JURISDICTION
In the event of any dispute relating to a supply, service or payment, the Commercial Court of NANTERRE shall have exclusive jurisdiction, regardless of the terms of sale or method of payment, even in cases involving multiple defendants or third-party claims.
